1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PharmaIntel Intelligence Unit, a Delaware limited liability company ("PharmaIntel," "we," "us," or "our"). By creating an account, accessing, or using the PharmaIntel platform, website, APIs, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our , which is incorporated herein by reference.

If you are using the Service on behalf of an organization (such as a law firm, corporation, or government agency), you represent and warrant that you have authority to bind that organization to these Terms. In such case, "you" refers to both you individually and the organization.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

2. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last Updated" date at the top of this page; (b) provide you with prominent notice via email to the address associated with your account at least thirty (30) days before the changes take effect; and (c) post a notice on the Service. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Service and may request deletion of your account and associated data in accordance with Section 14 (Data Portability & Deletion).

We maintain an archive of prior versions of these Terms, which are available upon written request to admin@pharmaintelai.com.

3. Description of Service

PharmaIntel provides a litigation intelligence platform designed for legal professionals, including but not limited to: (a) curated intelligence dossiers on pharmaceutical and consumer product liability matters; (b) aggregated news briefings from third-party sources; (c) court opinion feeds from federal and state courts; (d) PharmaVector, an AI-powered drug analysis tool; (e) settlement estimation tools; (f) regulatory action calendars; and (g) MDL filing analytics dashboards.

4. Not Legal Advice

IMPORTANT: PharmaIntel provides information for educational, research, and general informational purposes only. Nothing on this platform constitutes legal advice, and no attorney-client relationship is formed by your use of the Service. The intelligence, dossiers, analyses, settlement estimates, PharmaVector AI assessments, and other content provided are based on publicly available data and algorithmic assessments that may contain errors, omissions, or outdated information. Users should independently verify all information and consult with qualified legal counsel before making any litigation, settlement, or business decisions. PharmaIntel expressly disclaims any liability arising from reliance on the information provided through the Service.

5. Account Registration & Security

To access certain features of the Service, you must create an account by providing accurate, complete, and current information, including a valid email address. You agree to: (a) maintain the accuracy of your account information; (b) keep your password and credentials confidential; (c) immediately notify us of any unauthorized use of your account; and (d) accept responsibility for all activities that occur under your account.

By registering, you consent to receiving transactional emails related to your account (e.g., password resets, billing receipts, service notifications, and updates to these Terms). These transactional communications are necessary for the provision of the Service and are not subject to opt-out.

6. Subscriptions, Billing & Free Trials

6.1 Subscription Plans. PharmaIntel offers multiple subscription tiers (Free, PharmaVector, Professional) with varying feature access levels. Features and pricing for each tier are described on our page.

6.2 Free Trials. Paid plans may include a seven (7) day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan, and your payment method will be charged at the applicable rate.

6.3 Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled before the renewal date. You authorize us to charge the applicable fee to your payment method on file.

6.4 Cancellation. You may cancel your subscription at any time through the Stripe billing portal accessible from your account settings. Cancellation takes effect at the end of your current billing period. No prorated refunds are provided for partial billing periods.

6.5 Price Changes. We may change subscription prices with at least thirty (30) days written notice sent to your registered email address. Price changes take effect at the start of your next billing cycle following the notice period.

6.6 Payment Processing. All payment transactions are processed securely through Stripe, Inc. We do not store your complete credit card information on our servers. Your use of Stripe is subject to the Stripe Services Agreement.

7. Communications, Email Consent & Periodic Dossiers

7.1 Transactional Communications. By creating an account, you consent to receive transactional communications including: account confirmations, password resets, billing receipts, security alerts, subscription changes, and notifications regarding material changes to these Terms or our Privacy Policy.

7.2 Marketing & Intelligence Communications. With your opt-in consent at registration, we may send you: (a) morning intelligence email digests summarizing overnight litigation developments; (b) weekly litigation roundup newsletters; (c) breaking regulatory and MDL alerts; (d) periodic intelligence dossiers on emerging product liability matters; (e) settlement trend analyses and market updates; and (f) product feature announcements and promotional offers.

7.3 Opt-Out Rights. You may unsubscribe from marketing and intelligence communications at any time by: (a) clicking the "unsubscribe" link included in every marketing email; (b) updating your email preferences in your account settings; or (c) contacting us at admin@pharmaintelai.com. Please allow up to ten (10) business days for unsubscribe requests to be processed. Note that opting out of marketing emails does not affect transactional communications necessary for the provision of the Service.

7.4 CAN-SPAM Compliance. All commercial email communications from PharmaIntel comply with the CAN-SPAM Act of 2003 (15 U.S.C. 7701 et seq.), including: accurate header information, non-deceptive subject lines, identification as advertising where applicable, inclusion of our physical mailing address, and a functioning opt-out mechanism.

7.5 Updated Agreement Notifications. When we materially update these Terms or our Privacy Policy, we will send notification to your registered email address at least thirty (30) days prior to the effective date. This notification will summarize the key changes and provide a link to the full updated agreement. Your continued use of the Service after the effective date constitutes acceptance of the revised terms.

8. Data Collection, Use & Consent

8.1 Consent to Data Processing. By using the Service, you consent to the collection, processing, storage, and use of your personal data as described in our . This includes, but is not limited to: account information, usage data, search queries, saved items, reading history, notes, and device information.

8.2 Lawful Basis for Processing (GDPR). For users in the European Economic Area (EEA), United Kingdom, or Switzerland, we process personal data on the following legal bases: (a) performance of a contract (providing the Service); (b) legitimate interests (improving the Service, fraud prevention, security); (c) consent (marketing communications, cookies); and (d) legal obligation (tax records, regulatory compliance).

8.3 PharmaVector Data. Searches conducted through the PharmaVector tool are logged for service improvement and to provide personalized search history. PharmaVector search data is never sold to third parties, shared with opposing counsel, or disclosed except as required by law.

8.4 Analytics & Service Improvement. We may use aggregated, de-identified usage data to improve the Service, develop new features, conduct research, and generate industry reports. Such aggregated data does not identify individual users.

9. User Obligations & Acceptable Use

You agree not to:

  • Share your account credentials with unauthorized persons or allow multiple individuals to use a single-user account;
  • Scrape, crawl, or use automated means to extract data from the Service without prior written consent;
  • Reproduce, redistribute, or publicly display PharmaIntel content beyond the scope of fair use for legal research purposes;
  • Reverse engineer, decompile, or disassemble any component of the Service;
  • Use the Service to engage in any unlawful activity or to violate any applicable local, state, national, or international law;
  • Transmit viruses, malware, or other harmful code through the Service;
  • Attempt to gain unauthorized access to other users' accounts or PharmaIntel systems;
  • Use the Service to harass, defame, or infringe upon the rights of others.

10. Intellectual Property

All content, software, designs, logos, trademarks, and other intellectual property on the Service are owned by or licensed to PharmaIntel and are protected by U.S. and international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal legal research and professional purposes only, subject to these Terms.

You may cite PharmaIntel dossiers and analyses in legal filings, briefs, and internal memoranda with appropriate attribution. Bulk reproduction, syndication, or commercial redistribution of PharmaIntel content requires a separate licensing agreement.

11. AI-Generated Content Disclaimer

Certain features of the Service, including PharmaVector drug analysis, settlement estimates, risk assessments, and litigation outlook projections, utilize artificial intelligence and machine learning algorithms. AI-generated content: (a) is based on historical data and patterns that may not predict future outcomes; (b) may contain errors, biases, or inaccuracies; (c) should not be relied upon as the sole basis for legal strategy decisions; and (d) does not constitute expert opinion or testimony. Users are solely responsible for independently verifying all AI-generated assessments before relying upon them.

12. Third-Party Content & Links

The Service aggregates content from third-party sources, including news agencies, RSS feeds, court databases, and regulatory filings. PharmaIntel does not control, endorse, or guarantee the accuracy of third-party content. External links are provided for convenience and do not imply endorsement. We are not responsible for the content, privacy practices, or availability of any external websites.

13. Limitation of Liability & Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PHARMAINTEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PHARMAINTEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PHARMAINTEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Data Portability, Export & Deletion Rights

14.1 Right to Data Portability (GDPR Art. 20 / CCPA 1798.100). You have the right to receive a copy of all personal data we hold about you in a structured, commonly used, machine-readable format (JSON). You may exercise this right at any time through the "Download My Data" feature in your account settings, or by submitting a verified request to admin@pharmaintelai.com.

14.2 Right to Deletion. You have the right to request deletion of your personal data, subject to applicable legal retention requirements. Upon receiving a verified deletion request, we will delete or de-identify your personal data within thirty (30) days, except where retention is required by law (e.g., billing records retained for seven years under applicable tax law).

14.3 Data Export Contents. Your data export will include: personal information (name, email), account details, consent history, email preferences, saved items, watchlist, reading history, search history, notes, and user preferences. The export is provided in JSON format compliant with GDPR Article 20 and CCPA Section 1798.100.

15. Indemnification

You agree to indemnify, defend, and hold harmless PharmaIntel and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any reliance on PharmaIntel content for legal strategy or business decisions.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in such courts.

Arbitration. For claims not subject to injunctive relief, the parties agree to attempt resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before pursuing litigation. The arbitration shall take place in Wilmington, Delaware.

17. Severability & Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect. The failure of PharmaIntel to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and PharmaIntel with respect to the use of the Service and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written.
